Auf der gesicherten Webseite stehen unter dem Titel "Presentation from the Creditors Meeting 30 September 2015" die Ergebnisse der Gläubigerversammlung vom 30.09.2015 zur Verfügung. Bei Problemen mit der gesicherten Webseite bitte hier zuerst lesen.

In dem o.g. Dokument sind auf Seiten 35ff die nächsten Schritte genannt:

  • Erhalt der Ausnahmegenehmigung durch die isländische Zentralbank (CBI). Voraussetzung zur Auszahlung in Fremdwährung.
  • Klärung offener, steuerlicher Aspekte.
  • Vorstellung der Vergleichsvereinbarung.
  • Anspruchsschreiben und Abstimmung nebst Frist über den Vergleich.
  • Gläubigerversammlung zur Abstimmung über den Vergleich.
  • Vorlage Vergleichsvereinbarung beim Amtsgericht.
  • Einspruchsfrist für Kaupthing oder Gläubiger.
  • Sofern eine Einspruch eingelegt wurde entscheidet das Oberste isländische Gericht über die Vergleichsvereinbarung.
  • Wenn das Amtsgericht (bzw. das Oberste isländische Gericht) der Vergleichsvereinbarung zustimmt, tritt die Vergleichsvereinbarung eine Woche nach der Entscheidung durch das Amtsgericht in Kraft, bzw. an dem Tag, der vom Obersten Gerichtshof bestätigt wurde.

Composition Proposal

In accordance with paragraph 2 of Article 151 of the Bankruptcy Act, the Winding‑Up Committee has prepared a list of Voting Creditors who have a right to vote on the Composition Proposal and the votes attached to each claim (both by number of creditors and the amounts of claims) (the "Voting Registry"). The Composition Proposal and the Voting Registry will be available to Voting Creditors for inspection at the office of the Company at Borgartun 26, 7th Floor, 105 Reykjavik, Iceland and on the Secure Website

Voting on the Composition Proposal

In order to vote on the Composition Proposal, a Voting Creditor must:

  1. properly complete and submit a voting form (the form of which is available on the Secure Website) (the "Voting Form") in accordance with the instructions contained therein;
  2. attend and vote in person at the Composition Voting Meeting; or
  3. appoint an individual to attend the Composition Voting Meeting and vote on its behalf by returning to the Company a properly completed proxy (the form of which is available on the Secure Website) in accordance with the instructions contained therein.

All Voting Creditors are encouraged to vote before the Composition Voting Meeting by returning their properly completed Voting Form to the Company by no later than 5 p.m. (Reykjavik time) on 18 November 2015.

Composition Voting Meeting

The Composition Voting Meeting will be held at 11.00 a.m. (Reykjavik time) on 24 November 2015 at Silfurberg, Harpa Conference Centre, Reykjavik, Iceland. The meeting will be held in Icelandic and simultaneously translated into English. All Voting Creditors may attend the Composition Voting Meeting, regardless of whether they have submitted a Voting Form in advance. Those Voting Creditors who attend are requested to register their attendance before 2 p.m. (Reykjavik time) on 23 November 2015.

    Der Liquidationsausschuss informiert hiermit alle Gläubiger über die Vorlage des Vergleichsvorschlages.
    Weiterhin werden alle stimmberechtigten Gläubiger über das bevorstehende Treffen zur Stimmabgabe der vorgeschlagenen Vergleichsregelung informiert.
    Die Versammlung zur Beschlussfindung über den Vergleichsvorschlag findet am 24.11.2015 um 11:00 Uhr statt.
    Stimmberechtigt sind Gläubiger, deren Ansprüche über 4,6 Millionen ISK (> 27.182 EUR) liegen.

    Gläubiger, deren Ansprüche unter dieser Summe liegen, werden als "De Minimis Cash Payment Creditors" bezeichnet. Das sind alle Gläubiger unseres Forums, hier haben wir damals in Island unseren Vergleichsvorschlag eingebracht.

Gesicherte Webseite

    ALLE Gläubiger, auch solche deren Ansprüche unter 4,6 Millionen ISK (> 27.182 EUR) liegen, sind gehalten, sich auf der gesicherten Webseite anzumelden.

    Dort werden wichtige Informationen über den Vergleichsvorschlag sowie eine Liste der darüber stimmberechtigten Gläubiger bereitgestellt. Stimmberechtigte Gläubiger finden Informationen über die Abstimmung zum Vergleichsvorschlag sowie über die Auszahlung.

    Bei Problemen mit dem Login zur gesicherten Webseite ist eine Mail an KaupthingInfo@epiqsystems.com zu schreiben.

Vergleichsvorschlag

    Auf der gesicherten Webseite findet sich eine Liste stimmberechtigter Gläubiger nebst deren Forderungshöhe "Voting Registry".

    Um über den Vergleichsvorschlag abzustimmen muss:

    1. ein Abtimmungsvordruck vollständig ausgefüllt und abgesandt werden;
    2. persönlich am Abstimmugstreffen teilgenommen und abgsetimmt werden; oder
    3. einen Vertreter mittels einer ausgefüllten Vertretungsvollmacht bestimmt werden

    Alle stimmberechtigten Gläubiger werden aufgefordert ihre Stimme bis zum 18.11.2015, 17:00 Uhr (Reykjavik-Zeit) abzugeben.

Versammlung zur Abstimmung über den Vergleichsvorschlag

    Die Versammlung zur Abstimmung über den Vergleichsvorschlag findet am 24.11.2015 um 11:00 Uhr im Harpa-Konferenz-Zentrum, Reykjavik, statt. Kaupthing informiert die Gläubiger über den Vergleichsvorschlag.

Kaupthing plant zwei Gläubigertreffen:
  • Am (vermutlich) 11.11.2015, um die Gläubiger über den aktuellen Stand des Vergleichsprozesses zu informieren, sowie die Unterstützung der Gläubiger mit Bezug auf die überarbeitete Stabilitätsvereinbarung einzuholen.
  • Am 24.11.2015 um über den Vergleichsvorschlag abzustimmen.
Ziel ist, die vollständige Umsetzung der Vergleichslösung (=Auszahlung) bis zum Jahresende zu erreichen.

Kaupthing launches its composition proposal


Background

Creditors have previously indicated that the implementation of a composition proposal, as opposed to bankruptcy proceedings, is the preferred route to achieve distributions from the Kaupthing estate. On that basis, the winding-up committee (the “Winding-up Committee”) of Kaupthing hf. (“Kaupthing”) has focused on ending Kaupthing’s current winding-up proceedings through a composition as soon as realistically achievable in order to effect distributions to unsecured creditors. Distributions to unsecured creditors, either through a composition agreement or bankruptcy proceedings, are, however, subject to certain currency control restrictions under the Act on Foreign Exchange (No. 87/1992) (the “Foreign Exchange Act”). As a result of these restrictions, certain exemptions granted by the Central Bank of Iceland (the “CBI”) after consultation with the Minister of Finance and Economic Affairs (the "Minister of Finance") and following a presentation by the Minister of Finance to the parliamentary committee on economic affairs, are required in order for distributions to unsecured creditors to be possible.

Kaupthing originally submitted an exemption application with respect to the restrictions under the Foreign Exchange Act on 24 October 2012 (the “October 2012 Exemption Request”), in order for Kaupthing to be able to make distributions to unsecured creditors pursuant to an approved composition agreement. However, prior to the CBI making any decision with regard to the October 2012 Exemption request, the applicable legal framework changed dramatically.

On 8 June 2015 the Icelandic Government announced its strategy for capital account liberalisation. The Government’s solution concerning the failed financial institutions’ estates, including Kaupthing, is twofold: stability conditions have been introduced and a 39% stability tax put in place, to be levied on the assets of the estates as at 31 December 2015 (the “Stability Tax”). According to current legislation, if the estates can complete composition agreements by the end of 2015 (subject to certain legal amendments which are currently under consideration by the Government and which could, if implemented, provide for an extension to the deadline for court approval of composition agreements until 15 March 2016), they can obtain authorisation to transfer funds, provided that they fulfil the stability conditions; otherwise, they will be subjected to the Stability Tax. The stability conditions and the Stability Tax are intended to prevent adverse effects on Iceland’s balance of payments stemming from the distribution of the domestic assets of the estates into the foreign exchange market.

As a consequence, unless Kaupthing satisfies the stability conditions and concludes its current winding-up proceedings with an approved composition agreement within the given time frame, its estate will be subjected to the Stability Tax. Accordingly, Kaupthing is working to achieve an approved composition agreement within the given time frame.

Stability contribution

On 8 June 2015, the Ministry of Finance and Economic Affairs announced that it had received a letter from representatives of certain of the larger creditors of Kaupthing proposing a package of voluntary measures designed to neutralise the balance of payments risks posed by the ISK denominated assets in the Kaupthing estate (the “Original Stability Proposal”).

The Original Stability Proposal was made as a basis for Kaupthing to fulfil the stability conditions and hence receive exemptions from the Foreign Exchange Act and to proceed with the intended composition. The Original Stability Proposal involved Kaupthing making certain payments to the CBI and entering into certain other arrangements for the benefit of the CBI (the “Original Stability Contribution”).

On that basis, Kaupthing submitted to the CBI on 4 September 2015 an updated request for certain exemptions from the Foreign Exchange Act (the “September 2015 Exemption Request”), in which it agreed that, subject to approval from the requisite majority of creditors and the intended composition becoming effective, it would implement the Original Stability Proposal and subsequently make distributions to its creditors as part of the approved composition.

An open creditors’ meeting was held on 30 September 2015 where creditors holding 77.06% of Kaupthing’s unsecured claims approved the making of the Original Stability Contribution by 99.94% of votes cast.

Revised exemption request

Kaupthing received a written response from the CBI with respect to the September 2015 Exemption Request on 23 September 2015. Following further consideration, including consultation with its informal creditors committee, Kaupthing submitted a revised exemption request on 21 October 2015 (the “October 2015 Exemption Request”) including an adjusted stability contribution (the “Revised Stability Contribution”). In the October 2015 Exemption Request, Kaupthing agreed that, subject to the composition becoming effective, it will implement the Revised Stability Contribution.

Following the submission of the October 2015 Exemption Request and the changes to the Original Stability Contribution contemplated therein, Kaupthing proposes to hold a further open creditors’ meeting in order for creditors to consider, and if thought fit approve, among other things, the making of the Revised Stability Contribution.

Key adjustments to the Original Stability Contribution are as follows:

• the ISK-denominated secured promissory note to be granted by Kaupthing in favour of the CBI shall be repayable only from the proceeds of the sale by Kaupthing of its stake in Arion bank hf.

• the security for the ISK-denominated secured promissory note will, in addition to security over notes subscribed for by Kaupthing under Arion’s existing medium term note programme, also include Kaupthing’s shares in its wholly-owned subsidiary Kaupskil ehf.

• Kaupthing will make regular payments of its available ISK-denominated cash, net of certain agreed hold backs, to the CBI free of charge and without reducing the principal amount outstanding under the promissory note granted by Kaupthing in favour of the CBI

• Kaupthing will make its current foreign exchange deposits with the CBI available to Arion by subscribing for notes under Arion’s existing medium term note programme

Today, the CBI announced that it has concluded that the Revised Stability Contribution satisfies the requirements set forth in the Foreign Exchange Act, and that the fulfilment of the composition agreement together with the proposed countervailing measures will not jeopardise monetary, exchange rate or financial stability, which are the conditions for providing the necessary exemptions from currency control restrictions.

Kaupthing now awaits a formal response from the CBI to the October 2015 Exemption Request. Once the exemptions contemplated by the October 2015 Exemption Request are granted by the CBI, Kaupthing will be able to make payments to its unsecured creditors pursuant to an approved composition agreement, subject to making the Revised Stability Contribution in favour of the CBI, or other such entity as the CBI may designate. Kaupthing will provide creditors with an update on the progress of the exemption application in due course.

Composition launched

On Friday, 23 October 2015, Kaupthing gave notice to its creditors of the launch of its composition proposal by making the proposal document and related information memorandum available to those creditors which are entitled to vote on the composition proposal according to the Act on Bankruptcy (No. 21/1991), via its secure website available at http://creditors.kaupthing.com and at the opening hours of its offices at Borgartún 26, 105 Reykjavik, Iceland.

Das isländische Ministerium für Finanzen und Wirtschaft und die Zentralbank von Island erklären, dass der Vergleichsvorschlag zur Auszahlung der Gläubiger in Fremdwährung (= Ausnahme von den bestehenden Kapitalverkehrskontrollen) nicht die Geld-, Wechselkurs- oder die Finanzstabilität gefährdet. Dies ist eine Voraussetzung zur Auszahlung.

Reference is made to announcement made today by the Ministry of Finance and Economic Affairs and the Central Bank of Iceland where it is stated that “in the opinion of the Central Bank of Iceland, the draft composition agreements submitted by the estates of the three failed banks satisfy the requirements set forth in the Foreign Exchange Act, in that the implementation of the composition agreements together with the proposed mitigating measures will not jeopardise monetary, exchange rate, or financial stability. This is stated in the Central Bank's report on the settlement of the failed banks' estates on the basis of the stability conditions.”

Central Bank concludes assessment of preliminary composition proposals
The winding-up boards of the three largest failed commercial banks, Kaupthing hf., Glitnir hf., and LBI hf., have requested that the Central Bank of Iceland grant them exemptions from the Foreign Exchange Act in connection with the proposed composition agreements with their creditors and the conclusion of the winding-up proceedings of the failed banks’ estates; cf. Article 103(a) of the Act on Financial Undertakings, no. 161/2002. According to Article 7 of the Foreign Exchange Act, exemptions may only be granted from the restrictions provided for in the Act if it is ensured that monetary, exchange rate, and financial stability will not be jeopardised by the winding-up process. In order to ensure that the settlement of the failed commercial and savings banks estates does not cause instability, it is necessary to adopt countervailing measures in order to mitigate the potential adverse effects deriving from distributions of domestic assets to foreign creditors. The Central Bank has now completed its assessment of the preliminary composition proposals. The Bank has concluded that the proposals satisfy the requirements set forth in the Foreign Exchange Act, in that the fulfilment of the composition agreements together with the proposed countervailing measures will not jeopardise monetary, exchange rate, or financial stability. Consultations pursuant to Article 13c of the Foreign Exchange Act have taken place, and the Minister has presented the conclusions before the Parliamentary Economic Affairs and Trade Committee. An open creditors’ meeting in the winding-up proceedings of Kaupthing hf., will be held at Kaldalón, Harpa Conference Centre, Reykjavik on 13 November 2015 at 10 a.m. (Reykjavik time). The meeting agenda with detailed information is available for all creditors on the secure website of Kaupthing hf. at https://creditors.kaupthing.com/. Only creditors (and their representatives) whose claims against Kaupthing have not been rejected in a final manner, and creditors (and their representatives) who are valid transferees of such claims, are allowed to attend the meeting.

Provisional approval received from the Central Bank of Iceland

On 12 November 2015, Kaupthing received a formal response from the Central Bank of Iceland (“CBI”) to the request submitted by Kaupthing to the CBI on 21 October 2015 for certain exemptions from the Foreign Exchange Act (the “October 2015 Exemption Request”), as announced on Kaupthing´s public website on 28 October 2015, giving its provisional approval to that request.

In its response, the CBI stipulates that the adjusted stability contribution described in the October 2015 Exemption Request as a precondition to the granting of the requested exemptions (the “Revised Stability Contribution”) will not jeopardise financial stability and that the requested exemptions will be granted subject to, among other things, Kaupthing´s proposed composition being approved by the Icelandic courts, Kaupthing making the Revised Stability Contribution (including the long-term funding of Arion having been put in place) and the documentation relating to the making of the Revised Stability Contribution being finalised. The CBI response also indicates that, in assessing the grant of the exemptions, the CBI will have regard to whether the proposal to release of the State Released Persons (as defined in the Revised Resolutions and Explanatory Notes accessible on Kaupthing creditors’ secure website), which is to be considered at the open creditors’ meeting to be held on 13 November 2015, has been approved in a final and binding manner.

Die isländischen Kapitalverkehrskontrollen sichern die Finanzmarktstabilität.
Um Auszahlung in Fremdwährungen, wie z.B. Euro leisten zu können, bedarf es einer Ausnahmegenehmigung.
Kaupthing hatte eine formelle Anfrage an die isländische Zentralbank gerichtet und Vorschläge unterbreitet.
Die isländische Zentralbank hat heute befunden, dass die durch Kaupthing unterbreiteten Vorschläge zur Auszahlung von Guthaben in ausländischer Währung nicht die finanzielle Stabilität Islands gefährden.
Dies ist eine notwendige Voraussetzung zur ausnahmsweisen Aufhebung der noch bestehenden Kapitalverkehrskontrollen.
Die Zentralbank hat mit dieser Befindung eine Grundlage zur Auszahlung in Euro geschaffen.

Beschluss 1: Der Auflösungsausschuss wird hiermit bevollmächtigt, den Stabilitätsbeitrag zu leisten.

Beschluss 2: Die Mitglieder des Auflösungsausschuss werden hiermit von der persönlichen Haftung im Zusammenhang mit dem Stabilitätsbeitrag befreit. Ausnahme: Betrug oder Unredlichkeit.

Beschluss 3: Jede von der Haftung befreite Person wird von der Bank in vollem Umfang von der persönlichen Verbindlichkeit befreit, welche in Zusammenhang mit dem beabsichtigten Vergleichsvorschlag und den Stabilitätsbeitrag steht.

Beschluss 9: Die Gläubiger der Bank befreien jede von der Haftung befreite Person von der persönlichen Haftung im Zusammenhang mit einem Insolvenzereignis insofern, dass kein Mitglied des Auflösungsausschusses Schadenersatz leistet, als Folge das Vermögen der Gesellschaft oder seiner Gläubiger zu schützen, in Bezug auf Forderungen, Klagen oder Verfahren.

Beschluss 10: Die Bank soll unverzüglich ihre Zustimmung erklären und die Entschädigung gewähren. Wenn ein Beendigungsereignis eintritt, wird die Entschädigung nicht zu einer Haftung des Auflösungsausschusses als Folge der Nichteinhaltung der Bedingungen des Vergleiches verwendet, unbeschadet ihres Rechts auf Erstattung ihrer Kosten (einschließlich Anwaltskosten).

Creditors’ Meeting 13 October 2015 - Results

An open creditors’ meeting in the winding-up proceedings of Kaupthing hf., was held at Kaldalon, Harpa Conference Centre, Reykjavik on 13 October 2015. At the meeting, creditors had the opportunity to vote on a resolution regarding the Stability Contribution, resolutions regarding the release of liability for the Winding-Up Committee and the other Related Persons, a resolution regarding indemnity, resolutions regarding release of liability for the CBI and the Icelandic state and resolutions regarding release of liability for each member of Kaupthing Informal Creditors Committee and certain advisers and representatives thereto (the “ICC”).

Unsecured general creditors of Kaupthing hf. holding 89.76% of general unsecured claims voted at the meeting.

The outcome, based on valid votes cast, was as follows:

1. The Stability Contribution

Proposed resolution no. 1 was approved by 100% of votes cast.

2. Release of the Winding-Up Committee and other Related Persons

Proposed resolution no. 2 was approved by 100% of votes cast.
Proposed resolution no. 3 was approved by 100% of votes cast.
Proposed resolution no. 4 was approved by 100% of votes cast.
Proposed resolution no. 5 was approved by 100% of votes cast.
Proposed resolution no. 6 was approved by 100% of votes cast.
Proposed resolution no. 7 was approved by 100% of votes cast.
Proposed resolution no. 8 was approved by 100% of votes cast.
Proposed resolution no. 9 was approved by 100% of votes cast.

3. Indemnity

Proposed resolution no. 10 was approved by 100% of votes cast.

4. Release of the CBI and the Icelandic state

Proposed resolution no. 11 was approved by 78.57% of votes cast, 1.58% voted against and 19.85% abstained.

5. Release of each member of the ICC

Composition Voting Meeting 24 November 2015 – Information about registration

By a notice published in the Icelandic Law and Ministerial Gazette on 10 November 2015, Kaupthing hf. (“Kaupthing”) called an Open Creditors’ Meeting (the “Composition Voting Meeting”) to vote on Kaupthing’s proposal (the “CompositionProposal”) for a composition under the Act on Bankruptcy etc, No. 21/1991, as amended, and under Act No. 161/2002 on Financial Undertakings, as amended.

The Composition Voting Meeting will be held at the Silfurberg, Harpa Conference Centre, Austurbakki 2, 101 Reykjavik on Tuesday 24 November 2015 at 11:00 a.m. (Reykjavik time). Only creditors (and their representatives) whose claims against Kaupthing have not been rejected in a final manner, and creditors (and their representatives) who are valid transferees of such claims, are allowed to attend the meeting.

Creditors and/or their representatives who wish to attend the meeting are requested to register their attendance by completing the registration form on Kaupthing´s website before 2:00 p.m. (Reykjavik time) on 23 November 2015. Stimmberechtigt sind nur Gläubiger, deren Ansprüche oberhalb 4,6 Millionen ISK (> 27.182 EUR) liegen.
Nach Auswertung der aktuellen Gläubigerliste besitzt kein Mitglied unseres Forums noch Ansprüche oberhalb dieser Grenze.
Das heisst, ALLE offenen Forderungen bis 4,6 Millionen ISK (< 27.182 EUR) nach Art. 113 werden nach Registrierung und Anmeldung vollständig ausgezahlt.

Am 23.10.2015 hat der Liquidationsausschuss den Vergleichsvorschlag (zur Auszahlung an die Gläubiger) gestartet.
Die Auszahlung kann und wird erst erfolgen, wenn die Gläubiger das entsprechende Anforderungsschreiben auf der gesicherten Seite https://creditors.kaupthing.com ausgefüllt und übermittelt haben.
Anforderungsschreiben, welche nach dem 15.12.2015 ausgefüllt werden, können zu einer verzögerten Auszahlung führen.

Amtsgericht bestätigt Vergleichsvorschlag

Das Amtsgericht hat den Vergleichsvorschlag bestätigt.
Dies ist Grundlage zur partiellen Aufhebung der Kapitalverkehrskontrollen mit dem Zweck, die anerkannten Ansprüche auszuzahlen.
Kaupthing wird nun die Auszahlungsanforderungen der anerkannten Ansprüche durch die Gläubiger verifizieren und nach Verifikation die beschiedenen Summen auszahlen.
Wer seine Auszahlungsaufforderung noch nicht erteilt hat kann dies innerhalb der nächsten zehn Jahre nachholen. Beschiedene Ansprüche werden nur nach einer Auszahlungsaufforderung ausgezahlt.

Der Vergleichsvorschlag zur Befriedigung aller nicht-prioritärer Forderungen ist seit dem 23.12.2015 rechtskräftig.

Unsere Forderung einer VOLLSTÄNDIGEN BEFRIEDIGUNG i.H.v. über 20.000 EURO *ALLER* noch bestehenden Forderungen ist Bestandteil des Vergleiches. Darüber sind wir froh.

Kaupthing wird nun die Ausnahmegenehmigung zur Auszahlung in Fremdwährung seitens der isländischen Zentralbank einholen. Sobald diese Ausnahmegenehmigung vorliegt wird Kaupthing bestehende, anerkannte Forderungen auszahlen.

Jeder, der solche Forderungen hält, MUSS einen Auszahlungsauftrag erteilen. Siehe Info-Bereich.

Composition Effective Date

The Composition Agreement of Kaupthing hf., which was confirmed by the District Court of Reykjavik on 15 December 2015, has as of today’s date, 23 December 2015, become final and binding under Icelandic law. The Effective Date of the Composition Agreement is therefore 23 December 2015.

Kaupthing will make a further announcement once it receives the relevant exemptions from the Central Bank of Iceland to permit it to make distributions in accordance with the Composition Agreement.

On Monday 4 January 2016, the United States Bankruptcy Court for the Southern District of New York (the “Bankruptcy Court”) entered an order granting the Winding-Up Committee’s motion for permanent relief and protection in the United States in connection with Kaupthing’s winding-up proceedings in Iceland, including the Composition confirmed by the Reykjavík District Court on 15 December 2015.

Among other things, the January 4th order has imposed a permanent injunction in relation to debts discharged by Kaupthing’s restructuring and blocks any attempts to enforce such debts against Kaupthing or its property in the United States.

Although the order prevents parties from taking action in the United States against Kaupthing in relation to obligations restructured pursuant to the Composition or Icelandic insolvency law governing Kaupthing’s winding-up proceedings, it does not prevent any party from enforcing rights granted to it pursuant to the Composition.

Isländische Zentralbank erteilt Ausnahmegenehmigung (für Zahlungen in Fremdwährung)

Die isländische Zentralbank hat die Ausnahmegenehmigung erteilt. Damit ist es Kaupthing (und allen anderen isländischen Banken) möglich, anerkannte Forderungen in Fremdwährung an die anspruchsberechtigten Gläubiger auszuzahlen.

Kaupthing Composition - Exemption granted by the Central Bank of Iceland

Kaupthing has today, 15 January 2016, been granted the final exemption by the Central Bank of Iceland which will permit it to proceed with the implementation of the Composition Agreement.

Initial distributions of the De Minimis Cash Payments, the Composition Cash Payments, Notes and Shares will be initiated in accordance with the Composition Agreement which was approved at the Composition Voting Meeting on 24 November 2015, confirmed by the District Court of Reykjavik on 15 December 2015 and became final and binding under Icelandic law with effect from 23 December 2015.

Kaupthing will today initiate the payment of the De Minimis Cash Payments and Composition Cash Payments to eligible creditors who have properly completed and submitted valid Entitlement Letters before the relevant deadlines.

Kaupthing will also shortly be issuing (i) GBP denominated non-interest bearing convertible notes (the “Notes”) and commencing the distribution and settlement process for those Notes on the same day, and (ii) ISK denominated ordinary shares in Kaupthing ehf. (the “Shares”), in each case to be distributed to Composition Entitlement Creditors who are eligible to receive Notes and Shares and who have properly completed and submitted valid Entitlement Letters before the relevant deadlines.

Kaupthing will make separate announcements in relation to the issuance and delivery of the Notes and the Shares in due course.

The entitlements of certain creditors including those creditors who are Ineligible Persons or who have not properly completed and submitted valid Entitlement Letters will be subject to the custody arrangements described in the Information Memorandum.

A meeting of Kaupthing’s shareholders will be held to appoint the new board of directors in due course after the Notes and the Shares have been issued.
Words and expressions defined in the Information Memorandum have the same meanings when used in this announcement. The Composition Agreement and other related documentation, including the Information Memorandum are available in the ‘Restructuring Documents’ section of the Kaupthing secure website, accessible at https://creditors.kaupthing.com.

Falsche Angaben durch Kaupthing: Kein Geld

Dieses Schreiben betrifft überwiegend - aber nicht ausschliesslich - Unternehmen als Anspruchsteller.

Das Anspruchsschreiben zur Auszahlung geringfügiger Forderungen (De-Minimis cash payment letter), welches über die gesicherte Seite zur Verfügung gestellt wurde, enthielt in einigen Fällen fehlerhafte Angaben. Beispielsweise war der Name der (hiesigen) Bank, oder auch der Name des Anspruchstellers verkehrt.

In diesen Fällen wurde die Auszahlung nicht geleistet, da die Namen der Bank oder des/der Berechtigten im Anspruchsschreiben mit den im Kaupthing-System registrierten Angaben nicht übereinstimmen.

Wer ein Anspruchsschreiben zur Auszahlung geringfügiger Forderungen gestellt hat, und bis heute noch keine Zahlung erhalten hat sollte seine Daten überprüfen. Sofern Daten zu korrigieren sind, bitte eine Mail mit einer kurzen Erklärung an kaupthinginfo@epiqsystems.com senden.Bitte Kopien der rechtlichen Dokumente beilegen, welche z.B. die Namensänderung belegen.

Damit Epiq den Anspruchsteller zuordnen kann ist es hilfreich, die Forderungsnummer (Claim-No.) mit anzugeben.
